Agreement to Terms

Welcome to CarbonCoach! These Terms of Service ("Terms") govern your access to and use of CarbonCoach's website, mobile application, and services (collectively, the "Service").

By accessing or using CarbonCoach, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use after changes constitutes acceptance of the modified Terms.

Eligibility

You must meet the following criteria to use CarbonCoach:

• Be at least 13 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

If you are under 18, you must have permission from a parent or guardian to use CarbonCoach.

Account Registration

To use certain features of CarbonCoach, you must create an account. You agree to:

• Provide Accurate Information: Supply true, current, and complete information
• Maintain Accuracy: Update your information promptly if it changes
• Secure Your Account: Keep your password confidential and notify us of unauthorized access
• Accept Responsibility: You are responsible for all activities under your account
• One Account Per Person: Do not create multiple accounts

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

Acceptable Use

You agree to use CarbonCoach only for lawful purposes. You may NOT:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools (bots, scrapers) without permission
• Spam, harass, or abuse other users
• Impersonate another person or entity
• Sell or transfer your account to another party
• Use the Service for commercial purposes without authorization

User-Generated Content

CarbonCoach allows you to log activities, create challenges, and potentially share content. You retain ownership of your content, but you grant us a license to use it.

Your License to Us

By submitting content to CarbonCoach, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, modify, and display your content
• Create aggregate, anonymized statistics from your data
• Improve our Service and develop new features

Content Standards

You agree that your content will NOT:

• Be false, misleading, or fraudulent
• Violate any third-party rights
• Contain hateful, violent, or discriminatory material
• Include personal information of others without consent

Intellectual Property

CarbonCoach and its content (excluding user content) are owned by us and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks, logos, or branding without authorization
• Remove or alter any copyright or proprietary notices

"CarbonCoach" and our logo are trademarks. Unauthorized use is prohibited.

Emissions Data & Calculations

Important: Emission calculations are ESTIMATES.

While we use scientifically-backed emission factors from reputable sources (IPCC, EPA, DEFRA), actual emissions may vary based on numerous factors outside our control. We do not guarantee the accuracy of any specific calculation.

CarbonCoach is a tool for tracking trends and comparing activities, not for precise scientific measurement. Do not rely solely on our calculations for:

• Carbon offset purchasing decisions
• Regulatory compliance reporting
• Professional carbon accounting
• Financial or investment decisions

For professional carbon accounting, consult a certified carbon auditor.

Subscriptions & Payments

Free Tier

CarbonCoach's free tier provides unlimited access to core features at no cost. We reserve the right to modify free tier features with reasonable notice.

Premium Subscriptions (Future)

If you purchase a premium subscription:

• Billing: Subscriptions auto-renew unless canceled
• Cancellation: Cancel anytime; access continues through the paid period
• Refunds: Refunds are provided on a case-by-case basis
• Price Changes: We will notify you 30 days before any price increase

All payments are processed securely through third-party payment processors (Stripe). We do not store your credit card information.

Termination

By You

You may delete your account at any time via Profile → Settings → Delete Account. Upon deletion, all your personal data will be permanently removed within 30 days.

By Us

We may suspend or terminate your access to CarbonCoach if:

• You violate these Terms
• Your account is inactive for more than 2 years
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use CarbonCoach immediately ceases. Sections of these Terms that should survive termination (warranties, limitations of liability, etc.) will remain in effect.

Disclaimers & Warranties

CarbonCoach is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of data
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding third-party content or services

We do NOT guarantee:

• That CarbonCoach will meet your specific requirements
• That emission calculations are perfectly accurate
• That your use of CarbonCoach will result in specific emissions reductions
• That data backups will always be available

Limitation of Liability

To the fullest extent permitted by law, CarbonCoach shall not be liable for any damages.

This includes, but is not limited to:

• Direct, indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages from unauthorized access to your account
• Damages from errors, omissions, or inaccuracies in content

In no event shall our total liability exceed the amount you paid us in the past 12 months(which may be $0 for free tier users).

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless CarbonCoach, its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content submitted to CarbonCoach

Dispute Resolution

Informal Resolution

Before filing a claim, please contact us atsupport@tenreclabs.comto resolve the issue informally. Most disputes can be resolved this way.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

• Class Actions: You waive the right to participate in class action lawsuits
• Costs: Each party pays their own arbitration costs unless otherwise required by law

Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or to prevent unauthorized use of the Service.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any legal action or proceeding shall be brought exclusively in the federal or state courts located in San Francisco, California.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CarbonCoach regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.

Third-Party Links

CarbonCoach may contain links to third-party websites. We are not responsible for their content, privacy practices, or terms. Access them at your own risk.
